Terms of Service

1. Agreement
These Terms of Service ("Terms") constitute a binding agreement between Carbon Border LLC ("Carbon Border", "we", "us") and the legal entity ("Customer", "you") accessing our Authorised CBAM Declarant compliance platform (the "Service"). By creating an account or submitting an order, you confirm authority to bind your organisation.
2. Scope of Service
The Service automates documentation, calculation, and recordkeeping required under Regulation (EU) 2023/956 (CBAM) and Implementing Regulation (EU) 2023/1773. We do not provide legal advice and are not a substitute for retained counsel or your National Competent Authority ("NCA") obligations.
3. Customer Obligations
You warrant that all data submitted — including EORI, shipment manifests, supplier certificates, and emissions disclosures — is accurate, complete, and lawfully obtained. You remain solely responsible for filings made under your name.
4. Fees & Subscriptions
Fees are billed per the active plan on your account. CBAM certificate purchases, verifier costs, and government fees are out of scope. All fees are exclusive of VAT.
5. Data Retention
Compliance records are retained for a minimum of five (5) years in accordance with Article 10 of Regulation (EU) 2023/956. You may request deletion outside the statutory retention window via privacy@carbonborder.net.
6. Intellectual Property
The Service, including templates, methodology, and software, is the exclusive property of Carbon Border LLC. You receive a non-exclusive, non-transferable licence to use generated artefacts for your own compliance filings.
7. Limitation of Liability
To the maximum extent permitted by law, Carbon Border's aggregate liability shall not exceed the fees paid by Customer in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including penalties imposed by an NCA.
8. Termination
Either party may terminate for material breach uncured within thirty (30) days of written notice. Statutory retention obligations survive termination.
9. Governing Law
These Terms are governed by the laws of Ireland. Disputes shall be resolved exclusively in the courts of Dublin, without prejudice to mandatory consumer protections.
